The business register in Azerbaijan is the Hüquqi şéxslérin dövlét reyestri (State Register of Legal Entities), a single statutory register kept on unified rules but operated by two authorities: the Dövlét Vergi Xidméti (State Tax Service) under the Ministry of Economy registers commercial legal entities, and the Ədliyyé Nazirliyi (Ministry of Justice) registers non-commercial ones. Registration produces a certificate and a taxpayer identification number (VÖEN). Unusually for the region, individual entrepreneurs are not entered in this register at all, and the identity of company founders is not open to the public.
The company registry in Azerbaijan
The register is governed by the «Hüquqi şéxslérin dövlét qeydiyyatı vé dövlét reyestri haqqında» Azérbaycan Respublikasının Qanunu (Law of the Republic of Azerbaijan on State Registration and the State Register of Legal Entities), No. 560-IIQ of 12 December 2003, as amended. The register is maintained in a unified form and method, on both electronic and paper media.
Two registering authorities operate the same statutory register. The Dövlét Vergi Xidméti (State Tax Service) registers commercial legal entities, public legal persons and the branches and representative offices of foreign commercial legal entities; electronic registration of limited liability companies with local and foreign investment is available through the tax service portal. The Ədliyyé Nazirliyi (Ministry of Justice) registers non-commercial legal entities, political parties and the branches and representative offices of foreign non-commercial entities.
Individual entrepreneurs are registered separately
An important structural point: férdi sahibkar (individual entrepreneur) status does not create a legal person and is not recorded in the State Register of Legal Entities. An individual entrepreneur is registered only for tax purposes and receives a vergi uçotuna alınması haqqında şéhadétnamé (certificate of tax registration) with a taxpayer identification number. Anyone verifying an Azerbaijani sole trader is therefore checking the tax register, not the company register.
The Alat Free Economic Zone
Azerbaijan operates one carve-out from the national register. The Ələt azad iqtisadi zonası (Alat Free Economic Zone), established by the Law of 18 May 2018, applies its own legal framework inside the zone: the zone authority is empowered to determine by its internal rules the organisational and legal forms of the entities established there, to create its own registry and to set its own registration procedure. Entities registered by the zone Registrar therefore sit outside the State Register of Legal Entities.
Legal forms that can be registered in Azerbaijan
Legal forms are set by the Azérbaycan Respublikasının Mülki Mécéllési (Civil Code of the Republic of Azerbaijan), which divides legal persons into commercial, non-commercial and public legal persons.
- Tam ortaqlıq (General partnership) — Article 69 of the Civil Code. Partners act in the partnership’s name and answer for its obligations with their own property; only individual entrepreneurs and commercial organisations may be partners, and a person may belong to only one such partnership.
- Kommandit ortaqlığı (Limited partnership) — Article 82. General partners bear unlimited liability alongside contributors who risk only their contribution and take no part in management.
- Méhdud mésuliyyétli cémiyyét — MMC (Limited liability company) — Article 87. Founded by one or more persons; the charter capital is divided into participatory shares and participants are not liable for the company’s obligations beyond their contributions. This is the dominant Azerbaijani business form.
- Əlavé mésuliyyétli cémiyyét — ƏMC (Additional liability company) — Article 97. Structured like a limited liability company, but participants bear subsidiary liability with their own property in a multiple of their contributions fixed in the charter.
- Açıq séhmdar cémiyyéti (Open joint-stock company) — Articles 98 and 99. Shares are freely transferable and may be placed by open subscription; open joint-stock companies must publish their annual financial statements, with an exemption for micro and small enterprises.
- Qapalı séhmdar cémiyyéti (Closed joint-stock company) — Article 100. Shares are distributed only among the founders or a predetermined circle of persons, with no open subscription. Only joint-stock companies may issue shares.
- Kooperativ (Cooperative) — Articles 109 and following. A voluntary membership association of natural or legal persons pooling share contributions to pursue a common economic purpose.
- Publik hüquqi şéxs (Public legal person) — Article 43.7 and the Law on Public Legal Persons. A state- or municipality-founded entity performing public functions, registered by the State Tax Service.
- İctimai birlik (Public association), fond (foundation) and hüquqi şéxslérin ittifaqı (union of legal persons) — Article 43.6. Non-commercial legal entities registered by the Ministry of Justice, which does not pursue profit distribution among participants.
- Filial (Branch) and nümayéndélik (Representative office) — Article 53. Not legal persons; they act under a regulation approved by the parent and a power of attorney. Branches and representative offices of foreign legal entities are subject to state registration; those of Azerbaijani legal entities are recorded in the register without separate registration.
Information available from the Azerbaijani business register
The general rule is open. Article 18.1 of the Law provides that any person may inspect the entries of the state register, demand an extract and obtain copies of the documents submitted for registration; the registering authority must also confirm on request whether a given entity is registered or not.
The registered data set includes the entity’s name, legal address, organisational and legal form, financial year, taxpayer identification number, its legal representatives with their names, citizenship and place of residence, its sub-entities, and any insolvency, liquidation or court-imposed restriction. For limited liability and joint-stock companies the register additionally holds the amount of the charter capital, each founder’s contribution and the members of the supervisory board.
What is restricted
Azerbaijan draws a sharper confidentiality line than most European registers. Under Articles 15.7, 15.8 and 18.2 of the Law, three categories are excluded from extracts issued to third parties, from copies and from official publication: the founders and participants of commercial legal entities and their shares in the charter capital, beneficial owners, and the register of political party members. Ownership data is released only to a closed statutory list of recipients: courts, investigation and inquiry bodies, the competition and public procurement authorities, the financial monitoring body and supervisory authorities, entities subject to anti-money-laundering obligations, the Central Bank for licensing and supervision purposes, bailiffs, advocates, notaries, other founders of the same entity, heirs of founders, and third parties acting with the data subject’s consent.
Beneficial ownership is defined in Article 5-1 of the Law by a threshold of ten per cent of capital or votes, direct or indirect, failing which by control exercised in another form or by the managing individual. The data are held in the register and reported to the financial monitoring body under the anti-money-laundering legislation, but there is no public beneficial ownership search.
Financial statements are not filed with the business register. Under the «Mühasibat uçotu haqqında» Qanun (Law on Accounting), public-interest entities, commercial organisations preparing consolidated statements other than micro and small enterprises, and state-supported entities must publish their annual statements together with the audit opinion on their own website or in print, and supply a copy free of charge to any person on request.
Documents that can be obtained from the register
- Dövlét qeydiyyatı haqqında şéhadétnamé (Certificate of state registration) — Article 13 of the Law. Confirms registration and states the taxpayer identification number; it individualises the entity and its branches and is the basic proof of existence for banks, counterparties and authorities.
- Dövlét reyestrindén çıxarış (Extract from the State Register) — Articles 13.2 and 15. Confirms the data entered in the register; it is issued on registration and again within three days of any registered change. Extracts issued to third parties omit founders, their shares and beneficial owners. Used for corporate verification, tenders, notarial deeds and litigation.
- Nizamnamé vé sénédlérin surétléri (Charter and copies of filed documents) — Articles 15.8 and 18.1. Copies of the charter, charter amendments and other documents submitted for registration; free of charge to state bodies and to the founders, otherwise on payment of the state duty.
- Elektron kabinet vasitésilé verilmış sénédlér (Documents delivered through the electronic cabinet) — on registration or on any registered change, commercial entities and public legal persons receive the certificate, the extract and the charter or its amendment in their electronic cabinet on the same day.
- Adın unikallığının yoxlanılması (Company name uniqueness check) — an online service of the State Tax Service confirming whether a proposed commercial name is available before registration.
