Company records in Costa Rica are kept by the Registro de Personas Jurídicas — the Register of Legal Persons — which contains the Registro Mercantil along with the registers of civil associations, foundations and civil partnerships. It is one of the registries of the Registro Nacional, an autonomous body attached to the Ministry of Justice and Peace.
The company registry in Costa Rica
The registry operates online through rnpdigital.com. Its single consultation and certification system combines a free look-up section, where the status of a filing, its tomo and asiento and any defects can be checked, with paid digital certifications. A separate Ventanilla Digital handles the submission of documents, and issued digital certifications can be validated and downloaded through a dedicated page. The governing framework is the Reglamento del Registro de Personas Jurídicas, Decreto 44648-MJP.
The identifier that matters in practice is the cédula jurídica. Under articles 136 and 137 of the regulation every registered entity must hold one; for the sociedad anónima and the sociedad de responsabilidad limitada the Registro Nacional assigns it automatically at the moment of registration, while other entities apply for it.
Costa Rica is a strongly notarial system. Registration is made by public notarial instrument or by an authentic judicial or administrative document, so incorporations, amendments, powers of attorney, dissolutions and quota transfers all reach the registry as a notarial escritura pública or a protocolised minute. The notarial function is governed by the Código Notarial, Ley 7764, and supervised by the Dirección Nacional de Notariado.
Alongside the registry there is a one-stop portal, CrearEmpresa, run within the digital-government programme, which combines the notarial registration of a new commercial company at the Registro Nacional with the municipal land-use permission and the commercial licence.
One structural feature deserves attention because it has registry consequences: the annual corporate tax on legal persons under Ley 9428 is owed by every registered company, active or dormant. Arrears block both the issue of certifications and the registration of documents for that entity, and the registry publishes dissolution edicts against persistent defaulters.
Sole traders are outside all of this. A persona física con actividad lucrativa does not appear in the company register at all; the individual registers only with the tax administration in the Registro Único Tributario, and their tax status can be checked publicly, without a login, through the tax authority’s public consultation.
Legal forms that can be registered in Costa Rica
Article 11(a) of Decreto 44648-MJP sets the scope: commercial and civil companies, civil associations, foundations, the individual limited liability enterprise and branches of foreign companies.
- Sociedad Anónima (S.A.) — the stock corporation and the dominant form. Shareholders are liable only up to the shares they have subscribed.
- Sociedad de Responsabilidad Limitada (S.R.L. or Ltda.) — the limited liability company, with capital divided into cuotas and members liable to the extent of their contribution. Quota transfers are themselves registrable at the Registro Mercantil, which has a real effect on transparency, discussed below.
- Sociedad en Nombre Colectivo — the general partnership, with all partners jointly, severally and unlimitedly liable. Rare in practice.
- Sociedad en Comandita Simple — the simple limited partnership, with unlimited general partners and limited partners liable to their contribution. Also rare. Note that the comandita por acciones does not appear as a registrable form in the official sources.
- Empresa Individual de Responsabilidad Limitada (E.I.R.L.) — a single-owner vehicle that separates the owner’s business assets from personal assets. Little used.
- Sucursal de sociedad extranjera — the branch of a foreign company. It is not a separate legal person and the foreign parent remains liable, but it must be registered and it receives a cédula jurídica.
- Sociedad Civil — the non-commercial partnership, registered in the same register.
- Asociaciones and Fundaciones — associations and foundations, non-profit legal persons registered in the Registro de Personas Jurídicas.
Cooperatives are the exception that trips up most checklists: they are not registered at the Registro Nacional. Their registration and their grant of legal personality are handled by the Ministry of Labour and Social Security through its social organisations department, with the cooperative institute certifying only the feasibility study and the paid-in capital beforehand. Members’ liability is limited to their contributions.
Public and restricted data in the Costa Rican register
The public side is comparatively rich. According to the registry’s own service guide, consultation shows the entity name and cédula jurídica, the members of the board, the legal representation and its limits, the domicile, the share capital, powers of attorney, registered movements since November 2003, encumbrances and affectations, and images of the notarial deeds themselves.
Shareholders, however, are not public. No certification of shareholders exists and none is offered in the official service catalogue. The shareholder register of a sociedad anónima is the company’s own private book and is not filed with the registry. The one significant exception is the S.R.L.: because quota transfers are registrable, quota-holders can become visible in the registry file.
Corporate and association edicts are published in La Gaceta, the official journal. A point of confusion worth clearing up: the Boletín Judicial is the judiciary’s own free daily publication for judicial, administrative and notarial notices, and is not the vehicle for company registration edicts.
Beneficial ownership is handled entirely outside the registry and is not public. The Registro de Transparencia y Beneficiarios Finales (RTBF) is operated and held in custody by the Central Bank of Costa Rica, with filings made through its Central Directo platform using a Costa Rican digital signature certificate. The data are encrypted; the central bank itself cannot read them, and access is confined to the tax administration and the Costa Rican Drugs Institute. Two narrow automated queries exist — a compliance check on whether an entity has filed, and a citizen query by which a natural person checks their own inclusion. The legal basis is Ley 9416 together with the Código Tributario, Ley 8204 and the current regulation, Decreto 44390-H, with a joint resolution of the tax authorities. The ordinary declaration period runs from 1 to 30 April each year, and newly registered entities must file within 20 business days of registration.
Non-compliance bites twice. Under article 84 bis of the Código Tributario a fine of 2% of the previous period’s gross income applies, subject to a floor and ceiling expressed in base salaries; in addition the Registro Nacional may not issue certifications or register documents for the entity, and notaries must record the non-compliance in any deed they issue.
Documents that can be obtained from the register
- Certificación de Personería Jurídica — the incumbency certificate showing the entity’s existence, cédula jurídica, legal representatives and their powers, domicile and term. The document banks, counterparties and courts ask for to establish who can bind the company.
- Literal Rápida de Personas Jurídicas — the full literal certificate and the most complete single document: board, representation, domicile, share capital and powers granted. The standard due-diligence and KYC instrument.
- Certificación de Cédula Jurídica — certifying the entity’s name and identification number.
- Certificación Histórica de Movimientos — the history of registered movements since November 2003.
- Certificación de Índice de Persona Física o Jurídica — an index of a person’s current registered participations across entities, useful for mapping a group or an individual’s roles.
- Certificación de Poderes — the type, faculties, restrictions and validity of powers of attorney.
- Certificación de Afectación — judicial or administrative measures affecting the registry entry.
- Certificación de Imágenes — certified copies of the testimonios of the public deeds.
- Estudio Registral de Personas Jurídicas — a detailed registry study drawn from the volumes and files.
Two documents that are frequently requested do not exist. There is no certificación de accionistas, no shareholder certificate of any kind. And there is no certificate of RTBF status: the tax authority’s own guidance states that neither the central bank, nor the ministry, nor the drugs institute can certify whether a person appears in the beneficial ownership register. What exists is the system’s filing confirmation and the two automated consultations described above.
One sourcing caveat should be stated plainly: the exact Código de Comercio article numbering for the list of company forms and for foreign branches could not be retrieved from the official legislative database, which was returning errors when checked. The list above is therefore drawn from Decreto 44648-MJP and the registry’s own qualification guide.
