Financial Reporting Obligations for Companies in Croatia

1. Registry for Submitting Financial Statements

In Croatia, companies must submit their financial statements (annual reports) to the Sudski registar (Court Register) (https://sudreg.pravosudje.hr) and through the Financijska agencija (FINA) (https://www.fina.hr). Submissions are made electronically via FINA’s e-reporting system.

2. Legal Forms Obliged to Publish Financial Statements

Legal forms in Croatia obliged to submit annual financial statements include:

  • Društvo s ograničenom odgovornošću (d.o.o.) – Limited Liability Company: Must submit annual statements to FINA and the Court Register.
  • Dioničko društvo (d.d.) – Joint Stock Company: Must submit annual statements and undergo mandatory audits.
  • Javno trgovačko društvo (j.t.d.) – General Partnership: Must submit annual statements; audit required if thresholds exceeded.
  • Komanditno društvo (k.d.) – Limited Partnership: Same as j.t.d.
  • Zadruga – Cooperative: Must submit statements; audit if thresholds exceeded.
  • Ustanova – Public Institution: Must submit annual statements.

Legal forms not obliged to publish financial statements:

3. Companies Requiring Audited Financial Statements

In Croatia, audit obligations are defined by the Accounting Act (Zakon o računovodstvu) and the Auditors Act (Zakon o reviziji). Medium and large companies must undergo audits if they meet at least two of the three criteria: turnover, total assets, employees.

4. Local Stock Exchange

Companies listed on Zagrebačka burza (Zagreb Stock Exchange) (https://zse.hr) must publish audited statements.

5. Deadlines

General deadline: within 6 months after fiscal year-end. Listed companies follow stricter deadlines per Zagreb Stock Exchange rules.

6. Partial Financial Statements

Small entities with turnover < HRK 15m and assets < HRK 7.5m may submit simplified financial statements.

7. Consequences for Late Submission

  • Fines: HRK 5,000–50,000
  • Legal actions for persistent non-compliance
  • Risk of removal from the Court Register

8. Foreign-Owned Branches & New Companies

Foreign branches must comply with Croatian and parent rules. New companies must file their first report by the end of the first fiscal year.
