Ecuador splits company registration between two institutions. The Superintendencia de Compañías, Valores y Seguros — SCVS (Superintendency of Companies, Securities and Insurance) approves incorporations and statutory reforms, supervises companies and maintains the national company information portal at supercias.gob.ec. The Registro Mercantil (Commercial Registry), run by cantonal registrars under the national registries directorate, inscribes the notarial deeds — and it is that inscription which gives a company its legal personality.

The company registry in Ecuador

The two layers work in sequence. A company is constituted by escritura pública (notarial deed), approved by the Superintendency, and then inscribed in the Commercial Registry of the canton of its domicile, at which point it exists as a legal person. The registrars are supervised nationally by DINARP — Dirección Nacional de Registros Públicos (National Directorate of Public Registries); older documents refer to the same body by its former acronym.

Two important exceptions to the two-layer model exist. The sociedad por acciones simplificada (SAS) is constituted before the Superintendency and not before the Commercial Registry, and is recorded only in the Superintendency’s register of companies. And electronic incorporation, in which the notary dematerialises the deed and transmits it for inscription while the tax identification number is generated automatically, is available only for the compañía anónima and the compañía de responsabilidad limitada.

Where sole traders appear

Natural persons trading in their own name do not appear in any company register. They register only for tax, obtaining a Registro Único de Contribuyentes — RUC (Single Taxpayer Register number) from the tax service. The empresa unipersonal de responsabilidad limitada (single-member limited liability enterprise) is a different vehicle: it is a legal person, constituted with judicial approval and inscribed in the Commercial Registry, and it is not supervised by the Superintendency.

Legal forms that can be registered in Ecuador

Article 2 of the Ley de Compañías (Companies Law), in its current consolidated text, recognises six species of commercial company, all of which are legal persons:

  • Compañía en nombre colectivo (General partnership) — Articles 36 and following. Partners bear unlimited, joint and several liability and the company trades under a razón social.
  • Compañía en comandita simple (Simple limited partnership) — Articles 59 and following. The comanditados are unlimitedly liable while the comanditarios answer only up to their contribution and may not manage the company.
  • Compañía en comandita dividida por acciones (Partnership limited by shares) — the limited partners’ capital is divided into shares while the managing partners remain unlimitedly liable.
  • Compañía de responsabilidad limitada — Cía. Ltda. (Limited liability company) — Articles 92 and following; Article 114 confirms that members are liable only up to the amount of their participaciones, which are not freely transferable. A common vehicle for closely held business.
  • Compañía anónima — S.A. (Stock corporation) — capital divided into freely negotiable shares, with shareholders liable only up to the shares they have subscribed. The standard form for larger business.
  • Compañía de economía mixta (Mixed-economy company) — combines public-sector and private capital and follows the rules of the stock corporation.
  • Sociedad por acciones simplificada — SAS (Simplified stock corporation) — introduced by the entrepreneurship and innovation law published in the Official Register of 28 February 2020 and regulated by a resolution of the Superintendency. It may be formed by one or more shareholders, has no minimum capital, is constituted by private document or unilateral act, may be incorporated electronically, and limits shareholder liability to their contributions. Its shares may not be listed or traded on an exchange.
  • Sucursal de compañía extranjera (Branch of a foreign company) — Article 78 requires a foreign company wishing to carry on business permanently in Ecuador to register its corporate documentation in the Commercial Registry, and Article 6 requires it to maintain a resident representative. The branch is not a separate legal person and the parent remains liable.
  • Empresa unipersonal de responsabilidad limitada (Single-member limited liability enterprise) — governed by its own statute outside the Companies Law. A single natural person is the owner and liability is limited to the assigned capital.

Information available from the Ecuadorian business register

Ecuador is unusually transparent by regional standards. The Superintendency’s portal lets anyone search companies by name, by taxpayer number or by file number and consult the company record. Two features stand out.

First, financial statements are published. Sector-wide financial statement data sets are downloadable free of charge by balance year, currently covering two decades of filings, and per-company financial information can be consulted through the Superintendency’s services.

Second, shareholders and directors are public. The Superintendency issues free electronic certificates to natural and legal persons, national or foreign, and to the general public, including a certificate listing the members or shareholders of a company and a certificate listing its administrators. The service is free, online and available at any time.

Corporate acts inscribed in the Commercial Registry — capital increases and reductions, inscription of appointments, statutory reforms — are certified by the cantonal registrars, and those certifications are likewise available to any natural or legal person, national or foreign.

What is restricted

Beneficial ownership is handled by the tax authority rather than by the company register. Companies, branches of foreign companies, permanent establishments and trust administrators file the Reporte de Beneficiarios Finales y de Composición Societaria — REBEFICS (Report of Beneficial Owners and Corporate Composition) with the Servicio de Rentas Internas (Internal Revenue Service) under the internal tax regime law and a series of resolutions. Beneficial owners are identified by ownership, by control or by management authority, and the report is annual with updates when ownership changes. It is a tax filing with no public search interface and does not appear on the Superintendency’s portal. The Superintendency’s own general certification service is expressly limited to information that is not confidential.

Documents that can be obtained from the register

From the Superintendency of Companies, free of charge and online, each carrying a verification code:

  • Certificado de cumplimiento de obligaciones (Certificate of compliance with obligations) — states whether the company is up to date with its filing obligations towards the Superintendency; the document usually required for tenders, banking and contracting.
  • Certificado de información general (General information certificate) — the company’s identity data: name, file number, taxpayer number, domicile, status, capital and corporate object. In practice this is the existence and status certificate.
  • Certificado de actos jurídicos (Certificate of legal acts) — the chronological list of registered corporate acts such as statutory reforms, capital changes, mergers and dissolution.
  • Certificado de nómina de socios o accionistas (Certificate of the list of members or shareholders) — the ownership composition of the company.
  • Certificado de nómina de administradores (Certificate of the list of administrators) — the current legal representative and directors; this performs the function of an appointment certificate.
  • Estados financieros (Financial statements) — balance sheet and income statement, per company and by sector, downloadable.
  • Reserva de denominación (Name reservation) — reserves a company name before incorporation and is a prerequisite for the notarial deed.
  • Copias certificadas de escrituras e información societaria (Certified copies of deeds and corporate information) — from the company’s file, limited to non-confidential material.

From the Commercial Registry, through the national registries directorate:

  • Certificación de actos societarios inscritos (Certificate of registered corporate acts) — certifies the acts actually inscribed, valid as at the date and time of issue; available to any natural or legal person, national or foreign, online or in person.
  • Razón de inscripción (Inscription endorsement) — issued when the incorporation deed is registered and evidencing the acquisition of legal personality.
  • Certificación de gravámenes sobre bienes muebles (Certificate of encumbrances over movable assets) — used in secured lending and asset due diligence.

Frequently Asked Questions

Who keeps the business register in Ecuador?

Two bodies. The Superintendency of Companies, Securities and Insurance approves and supervises companies and maintains the national company information portal, while the cantonal Commercial Registrars inscribe the corporate deeds under the national registries directorate.

When does an Ecuadorian company acquire legal personality?

On inscription of the incorporation deed in the Commercial Registry. The exception is the simplified stock corporation, which is constituted before the Superintendency and recorded only in its register of companies.

Are shareholders of Ecuadorian companies public?

Yes. The Superintendency issues a free electronic certificate listing the members or shareholders of a company, and another listing its administrators, available to anyone.

Are financial statements published?

Yes. Financial statement data sets are downloadable free of charge by balance year from the Superintendency’s portal, and per-company financial information can be consulted online.

Is beneficial ownership information public in Ecuador?

No. Beneficial owners are reported to the Internal Revenue Service through the REBEFICS filing, which has no public search interface and is not published on the company portal.

Where are sole traders registered?

Nowhere in the company register. A natural person trading in their own name holds only a taxpayer registration with the Internal Revenue Service; the single-member limited liability enterprise is a separate legal person inscribed in the Commercial Registry.
