The business register in Georgia is the მეწარმეთა და არასამეწარმეო (არაკომერციული) იურიდიული პირების რეესტრი (Register of Entrepreneurs and Non-Entrepreneurial (Non-Commercial) Legal Entities), kept by the საჯარო რეესტრის ეროვნული სააგენტო (National Agency of Public Registry) under the Ministry of Justice. It is one of the most open registers in the region: registered data are public by law, documents filed at registration are available electronically free of charge, and the search portal at enreg.reestri.gov.ge requires no login. Individual entrepreneurs are in the same register as companies, and registration covers tax registration at the same time.
The company registry in Georgia
The register is defined by the Law of Georgia on Public Registry and operated by the National Agency of Public Registry, a legal entity of public law within the Ministry of Justice. Applications may be filed at any იუსტიციის სახლი (Public Service Hall), at a mobile Public Service Hall or at any territorial office of the Agency, while the registration decision is taken by the Agency as the registering body.
A distinctive feature is that registration is unified with tax registration. The Law of Georgia on Entrepreneurs provides that registration of an entrepreneur is mandatory and comprises both state registration and tax registration, and the Agency transmits registration, change and cancellation data electronically to the Revenue Service. There is no separate filing to obtain a tax identification number.
A new Law on Entrepreneurs
Georgia rewrote its company law. The new Law of Georgia on Entrepreneurs, adopted on 2 August 2021, entered into force on 1 January 2022 and repealed the 1994 law from the same date. It also required every enterprise registered before that date, other than individual entrepreneurs, to bring its registration data into conformity with the new law by 1 April 2026. Failure has real consequences: the registration is suspended, a note is made in the register and no extract is issued for that enterprise, with its identification data passed to the Ministry of Finance. Anyone checking a Georgian company should therefore treat the inability to obtain an extract as a meaningful signal rather than a technical fault.
Legal forms that can be registered in Georgia
- ინდივიდუალური მეწარმე (Individual entrepreneur) — not a legal person; the entrepreneur acts as a natural person and is personally liable with all of their property for the obligations of the business.
- სოლიდარული პასუხისმგებლობის საზოგადოება — სპს (General partnership) — a legal person in which the partners are jointly and personally liable for its obligations.
- კომანდიტური საზოგადოება — კს (Limited partnership) — a legal person in which the general partners are personally liable while the limited partners answer only up to their contribution.
- შეზღუდული პასუხისმგებლობის საზოგადოება — შპს (Limited liability company) — partners are not liable for the company’s obligations. By far the most common Georgian form.
- სააქციო საზოგადოება — სს (Joint stock company) — the capital is divided into shares and shareholders are liable only to the extent of their shareholding.
- კოოპერატივი (Cooperative) — a membership entity serving its members’ economic interests.
- უცხოური საწარმოს ფილიალი (Branch of a foreign enterprise) — the law speaks of a branch of an entrepreneur registered abroad. It is not a legal person and the foreign enterprise remains liable; by contrast, a branch of an enterprise already registered in Georgia is not itself registered.
- არასამეწარმეო (არაკომერციული) იურიდიული პირი — ა(ა)იპ (Non-entrepreneurial, non-commercial legal entity) — registered in the same register but governed by the Civil Code rather than by the Law on Entrepreneurs.
The register’s own list of legal forms additionally includes legal entities of public law, branches of foreign non-commercial legal entities and branches of enterprises registered in a free industrial zone.
Information available from the Georgian business register
The Law on Entrepreneurs states the principle directly: the data registered in the register are public. Any person may inspect the registered data and obtain an extract. Beyond that, electronic copies of the documents submitted during registration are placed on the Agency’s unified electronic portal and are available to any person free of charge — the applicant’s registration request itself constitutes consent to the processing of the personal data involved. Registered and published data carry a statutory presumption of accuracy and completeness.
The public search portal requires no login and allows searches by identification or personal number, by name, by legal form, by legal address and by e-mail, as well as by application number, period, service type and status, and by applicant or participant. The visible service types include registration of a new subject, registration of changes, reorganisation, liquidation, insolvency, re-domiciliation and the registration of a pledge over a share, so encumbrances on ownership interests are themselves register events.
An extract from this register is compiled not only from the register itself but from a combined data bank that also draws on the register of public-law restrictions, the register of tax liens and mortgages, the register of rights over movable and intangible property and the debtors’ register. A single Georgian extract therefore carries more encumbrance information than a company extract normally does.
What is restricted
The main structural limit concerns joint stock companies. The Law on Entrepreneurs provides that only the partners or founders of general partnerships, limited partnerships and limited liability companies are registered in the register, so the ownership of a joint stock company is not visible in it; shareholders are recorded in the books of the share registrar instead.
As for beneficial ownership, no beneficial ownership register at the National Agency of Public Registry could be identified on an official source. The term does not appear in the Law on Entrepreneurs or in the Law on Public Registry, and the register’s service list contains no beneficial ownership filing. Beneficial owner identification in Georgia should therefore be understood, at least, as an obligation of reporting entities under anti-money-laundering rules rather than as a public register; anyone needing certainty on the current position should verify it with the financial monitoring authority.
Documents that can be obtained from the register
- ამონაწერი (Extract from the register) — the principal document, reflecting the data in force at the moment of preparation: the name, identification code, legal form, address, management and representation, partners other than for joint stock companies, status, restrictions and pledges. Used as proof of existence and of authority to sign, for banking, know-your-customer checks and tenders. Historical and archival data are available through the register’s archive search, and an English-language extract is possible where an English company name has been registered.
- წესდება და სადამფუძნებლო შეთანხმება (Charter and founding agreement) — together with founders’ decisions and the director’s consent, available as free electronic copies on the portal, and as certified copies from the Agency’s archive, which have official force and confirm identity with the original.
