The company registry in New Caledonia

New Caledonia is a French overseas collectivity with its own competence over commercial law and its own registry administration, so its register is separate from the French national RCS and from the Infogreffe network. The RCS is described by DECAT as the service of the directorate dedicated to collecting compulsory filings and preserving the acts issued by enterprises, recording each company identity and its exact legal situation.

Registration in the RCS is compulsory for commercial and civil companies, for groupements d'intérêt économique, GIE (economic interest groupings), for groupements de droit particulier local, GDPL (groupings under local customary law), and for commercial individual enterprises. New Caledonia therefore does not run separate registers for companies and for sole traders: a commercial entreprise individuelle is entered in the same RCS as a company.

Alongside the RCS there is a second, statistical register: the RIDET, Répertoire d'Identification des Entreprises et de leurs Établissements (Register of Identification of Enterprises and their Establishments), kept by the Institut de la Statistique et des Études Économiques (ISEE). Every business and every establishment receives a RIDET number, which functions as the identifier used across the New Caledonian administration.

Filings are made through the centres de formalités des entreprises (CFE) network rather than at a single counter. The CFE for commercial businesses is the Chambre de commerce et d'industrie, for craft businesses the Chambre des métiers et de l'artisanat with local branches in La Foa, Koné, Koumac and Poindimié, and for agricultural operations the Chambre d'agriculture. Enterprises of any kind may also file directly with the RCS service of DECAT, and digital formalities are centralised on the portal guichet-entreprises.nc.

Legal forms that can be registered in New Caledonia

The list below reflects the categories and forms named on official New Caledonian government sources. The complete statistical nomenclature of legal forms published by ISEE could not be downloaded at the time of writing, so the enumeration should be read as confirmed rather than exhaustive.

  • Entreprise individuelle, EI (Sole proprietorship) — a natural person trading in their own name; no separate legal personality and unlimited personal liability. A commercial EI must be entered in the RCS.
  • Société à responsabilité limitée, SARL (Limited liability company) — the standard company form for small and medium business: capital divided into parts sociales, partners liable only up to their contributions.

Information available from the New Caledonian registry

Public access works in two tiers. The free tier is the government directory annuaire-entreprises.gouv.nc, operated by the Direction du Numérique et de la Modernisation, which centralises administrative data on enterprises and independent workers. For each business it shows the identity and address, the RIDET identifier, the NAF or APE activity code, the head office details and the list of establishments; for independent workers it may show a personal address. The directory draws on both registers: it prefers RCS data supplied by the economic affairs directorate, and falls back to RIDET data from ISEE where a business is not RCS-registered.

The second tier is the RCS file itself, from which documents are supplied on request. Notably, and unlike many jurisdictions, the New Caledonian RCS holds and issues annual accounts: copies of accounts up to four years old can be obtained, alongside copies of the acts filed by the company, such as general meeting minutes and the articles of association. The register also issues statements of the charges recorded against a business.

What the register does not offer is a public beneficial-ownership layer. There is no publicly searchable register of beneficial owners for New Caledonia that could be confirmed on an official source, and personal data on independent workers appears in the directory only to the extent described above.

  • Extrait Kbis (Kbis extract) — the official extract of the RCS entry, described by DECAT as an official document with a legal validity of three months.
