Companies in Tajikistan are entered in the Феҳристи ягонаи давлатии шахсони ҳуқуқӣ ва соҳибкорони инфиродӣ / Единый государственный реестр юридических лиц и индивидуальных предпринимателей (Unified State Register of Legal Entities and Individual Entrepreneurs). Unusually, the registrar is not a justice ministry or a companies house but the tax authority: article 5 of the Law on State Registration of Legal Entities and Individual Entrepreneurs states plainly that the body carrying out state registration is the tax authority of the Republic of Tajikistan — in practice the Кумитаи андози назди Ҳукумати Ҷумҳурии Тоҷикистон (Tax Committee under the Government of the Republic of Tajikistan) at andoz.tj, whose public register of legal entities is published at registry.andoz.tj.

The company registry in Tajikistan

The governing statute is the Қонуни Ҷумҳурии Тоҷикистон «Дар бораи бақайдгирии давлатии шахсони ҳуқуқӣ ва соҳибкорони инфиродӣ» / Закон Республики Таджикистан «О государственной регистрации юридических лиц и индивидуальных предпринимателей». Article 1 sets out its reach: it governs the state registration of the creation, reorganisation and liquidation of legal entities, the registration of natural persons as individual entrepreneurs and the termination of their activity, the registration and closure of branches and representative offices of foreign legal entities, and the keeping of the Unified State Register itself. State bodies that are legal entities fall outside it, and political parties, religious associations and public (non-commercial) associations are registered under separate legislation — in their case by the Ministry of Justice rather than by the tax authority.

Tajikistan therefore uses one register for both companies and sole traders: legal entities and individual entrepreneurs sit in the same Unified State Register, kept by the same authority. Registration runs on the «ягона тиреза» / «единое окно» (single window) principle set out in article 4: the applicant submits the documents, on paper or electronically, only to the registering body at the location of the legal entity, the place of residence or activity of the individual entrepreneur, or the location of the branch or representative office — and no legal expert examination of the submitted documents is carried out, with the applicant answering for their accuracy.

The powers of the registering body under article 5 include conducting a unified state policy on registration, keeping the Unified State Register and ensuring the accessibility of its data, approving the forms of application and of the documents confirming registration, and regularly publishing information on registered, reorganised and liquidated legal entities and on registered individual entrepreneurs and those who have ceased activity.

Registration is confirmed by a formal document. Under article 12, the fact of registration of the creation of a legal entity is evidenced by the Свидетельство о государственной регистрации юридического лица (Certificate of State Registration of a Legal Entity), which must itself carry a reminder that statistical and social-insurance reporting has to be filed with the competent bodies; a duplicate can be obtained if it is lost. For natural persons, article 23 provides two alternative documents: the Свидетельство о государственной регистрации физического лица в качестве индивидуального предпринимателя (Certificate of State Registration as an Individual Entrepreneur), which permits any kind of entrepreneurial activity unless the law says otherwise, and the Патент на право осуществления индивидуальной предпринимательской деятельности (Patent for the right to carry on individual entrepreneurial activity), available for the activities on a list approved by the Government.

Legal forms that can be registered in Tajikistan

The forms of legal entity are set by the Кодекси граждании Ҷумҳурии Тоҷикистон / Гражданский кодекс Республики Таджикистан (Civil Code of the Republic of Tajikistan), which divides legal entities into commercial and non-commercial organisations. Commercial organisations may be created as business partnerships and companies, commercial cooperatives, and state and communal unitary enterprises.

  • Ҷамъияти дорои масъулияти маҳдуд, ҶДММ / Общество с ограниченной ответственностью, ООО (Limited Liability Company) — charter capital divided into participation shares; participants are not liable for the company’s obligations beyond their contributions. The dominant form for private business, governed additionally by the Law on Limited Liability Companies.
  • Общество с дополнительной ответственностью, ОДО (Company with Additional Liability) — the same structure, except that the participants bear joint subsidiary liability for the company’s obligations in a multiple of their contributions fixed in the constitutive documents.
  • Ҷамъияти саҳомӣ / Акционерное общество, АО (Joint-Stock Company) — charter fund divided into shares; shareholders bear the risk of loss only up to the value of their shares, and those who have not fully paid for their shares are jointly liable to the extent of the unpaid part. The Civil Code and the Law on Joint-Stock Companies distinguish open and closed joint-stock companies, the open form being entitled to conduct an open subscription for its shares.
  • Ширкати комил / Полное товарищество (General Partnership) — partners conduct entrepreneurial activity in the name of the partnership and answer for its obligations with all their property.
  • Ширкати боваринок / Товарищество на вере, коммандитное товарищество (Limited Partnership) — combines full partners liable with all their property and contributing partners who bear the risk only up to their contributions.
  • Кооперативи тиҷоратӣ / Коммерческий кооператив, производственный кооператив (Commercial or production cooperative) — a voluntary association of members for joint production or other economic activity based on personal participation.
  • Корхонаи воҳиди давлатӣ / Государственное унитарное предприятие (State unitary enterprise) — a commercial organisation that does not own the property assigned to it, which stays in state ownership.
  • Корхонаи воҳиди коммуналӣ / Коммунальное унитарное предприятие (Communal unitary enterprise) — the same construction at the level of local government property.
  • Хоҷагии деҳқонӣ (фермерӣ) / Дехканское (фермерское) хозяйство (Dehkan / farming holding) — the agricultural holding form, governed by separate legislation on dehkan farms.
  • Филиал ва намояндагии шахси ҳуқуқии хориҷӣ / Филиал и представительство иностранного юридического лица (Branch and representative office of a foreign legal entity) — not separate legal persons, but subject to their own state registration under the same Law.
  • Соҳибкори инфиродӣ / Индивидуальный предприниматель (Individual entrepreneur) — a natural person registered to trade either on a certificate or on a patent, without forming a legal entity and with personal liability.

Non-commercial organisations — non-commercial cooperatives, consumer cooperation, public associations, religious organisations, owner-financed institutions, charitable and other funds — may also be created, but their registration follows the separate legislation referred to in article 1 of the registration Law.

Information available from the Tajik registry

Article 8 of the Law lists what the Unified State Register holds on a legal entity: the organisational and legal form; the full and, where applicable, abbreviated corporate name in the state language, together with any change of name; the location and address of the legal entity and of its head, with contact details and any changes; the manner of formation, whether by creation or by reorganisation; the date of state registration; and information on the founders — for joint-stock companies, on the holder of the register of shareholders — and on the head of the legal entity, including identification data and, following a subsequent amendment to the Law, information on the beneficial owners of the legal entity.

Article 9 then sets the access rule in unusually open terms: the information contained in the Unified State Register is open and publicly available, and refusal to provide it is not permitted. The registering body must supply the data within 24 hours of receiving a written request on paper or in electronic form — a deadline shortened by the amending Law of 14 May 2025 No. 2179. Data is issued in the form of extracts, and of certificates confirming the absence of the requested information.

The exception is personal data. Article 9 makes confidential the place of residence and the data from the identity documents of the head and the founders of a legal entity, as well as the identity-document data of an individual entrepreneur, apart from the place of residence. In other words the register discloses who runs and owns a company, but not their passport details.

In practice, the public interface at registry.andoz.tj offers a search over the register of legal entities returning the EIN, the taxpayer identification number (INN), the full name, the date of registration and the status of the entity. Financial statements are not part of registry publicity in Tajikistan: accounting and reporting obligations run to the tax and statistics authorities, and the Law on State Registration says nothing about publishing accounts.

  • Выписка из Единого государственного реестра (Extract from the Unified State Register) — the standard document evidencing the registered particulars of a legal entity or individual entrepreneur; used for banking, tenders, litigation and counterparty checks.
  • Справка об отсутствии запрашиваемых сведений (Certificate of absence of the requested information) — the negative counterpart of an extract, confirming that the register holds no entry answering the request.
  • Свидетельство о государственной регистрации юридического лица (Certificate of State Registration of a Legal Entity) — the constitutive proof of registration, obtainable as a duplicate if the original is lost.
  • Свидетельство о государственной регистрации физического лица в качестве индивидуального предпринимателя (Certificate of State Registration as an Individual Entrepreneur) — the entrepreneur’s general trading document.
  • Патент на право осуществления индивидуальной предпринимательской деятельности (Patent for individual entrepreneurial activity) — the alternative document for the activities listed by the Government.

Frequently Asked Questions

Who registers companies in Tajikistan?

The tax authority. Article 5 of the Law on State Registration of Legal Entities and Individual Entrepreneurs designates the tax authority as the registering body, and registration is administered by the Tax Committee under the Government of the Republic of Tajikistan.

Are companies and sole traders in the same register?
